DIGITAL AGREEMENT

ZUDIMA AMBASSADOR COMMUNITY (ZAC)

This Digital Agreement ("Agreement") is a legally binding electronic agreement between ZUDIMA Lifestyle Private Limited ("ZUDIMA", "Company", "we", "our", or "us") and the individual registering as a Community Member ("you", "your", or "Community Member") through ZACMART, the Company's official digital commerce platform.

The ZUDIMA Ambassador Community (ZAC) is the Company's official community program and operates in accordance with the Community Commerce Distribution Model (CCDM).

By registering, accessing, or using ZACMART or participating in the ZUDIMA Ambassador Community, you acknowledge that you have read, understood, and agreed to this Agreement.

1. Electronic Consent

By clicking "Register", "Complete Registration", "I Agree", or any similar acceptance button, or by selecting the applicable consent checkbox, you acknowledge and agree that:

Your electronic acceptance constitutes your legally valid electronic signature.
This Agreement is executed electronically and is legally binding.
You consent to receive agreements, notices, disclosures, policies, and other communications electronically.
This Agreement has the same legal validity and enforceability as a physically signed agreement, subject to applicable laws, including the Information Technology Act, 2000.

2. Community Membership

By registering, you acknowledge that:

Community Membership is voluntary.
Community Membership is completely free.
Registration does not guarantee any income, profit, or financial benefit.
Community Rewards are generated exclusively from eligible product purchases in accordance with the Community Commerce Distribution Model (CCDM).
Registration creates a Community Member account.
Eligibility to receive Community Rewards begins only after completing the First Qualifying Purchase in accordance with the Company's Community Activation Policy.

3. Independent Status

You acknowledge and agree that, as a Community Member:

You participate independently.
You are not an employee, agent, franchisee, distributor, representative, partner, or joint venture partner of ZUDIMA Lifestyle Private Limited.
You have no authority to make commitments, representations, guarantees, or contractual obligations on behalf of the Company.
You remain solely responsible for complying with applicable laws relating to your own activities.

4. Incorporated Policies

This Agreement incorporates the following Company documents by reference. By accepting this Agreement, you also agree to comply with the latest versions of:

•Terms of Service

•Privacy Policy

•Community Membership Policy

•Compensation Plan Disclosure

•Income & Earnings Disclaimer

•Return, Refund & Replacement Policy

•Cancellation & Refund Policy

•Shipping & Delivery Policy

•Code of Ethics

•Partner Store Policy (where applicable)

•Any other policies, operational guidelines, or notices published by the Company from time to time.

5. Community Member Responsibilities

You agree to:

Provide complete, accurate, and truthful information.
Maintain the confidentiality of your account credentials.
Comply with all applicable laws and Company policies.
Conduct yourself responsibly and ethically.
Refrain from making false, misleading, medical, product, or income claims.
Use ZACMART only for lawful purposes.

6. Suspension & Termination

The Company reserves the right to suspend, restrict, deactivate, or terminate your Community Membership and this Agreement if you:

Violate this Agreement.
Breach any incorporated Company policy.
Engage in fraud, deception, abuse, or unlawful activities.
Misrepresent the Company's products, Community Rewards, policies, or the Community Commerce Distribution Model (CCDM).
Misuse ZACMART or act in a manner that may adversely affect the Company, customers, Community Members, Partner Stores, marketplace partners, or other users.

Where permitted by applicable law and Company policies, suspension or termination may result in the cancellation, suspension, recovery, or forfeiture of Community Rewards associated with policy violations.

7. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the registered office of ZUDIMA Lifestyle Private Limited, unless otherwise required by applicable law.

8. Acceptance

By registering, creating a Community Member account, accessing ZACMART, or continuing to participate in the ZUDIMA Ambassador Community, you confirm that:

You have carefully read and understood this Digital Agreement.
You agree to be legally bound by its terms.
You accept and agree to comply with all incorporated Company policies.
You consent to conduct business and receive communications electronically from ZUDIMA Lifestyle Private Limited.
